These Terms & Conditions govern the use of the Morris Matrix website, platform and services.

Morris Matrix is a corporate solutions organization.

By accessing the website, submitting a requirement, registering for a service, making a payment, participating in a training program or entering into an engagement with Morris Matrix, you acknowledge that you have read and accepted these Terms & Conditions.

1. Morris Matrix

Morris Matrix operates across three principal capability areas:

  • ·TECH — Tech projects, digital support and technology-related project execution.
  • ·OPERATIONS — Non-tech projects, business operations and corporate support.
  • ·WORKFORCE — HR staffing, workforce supply, talent development and related workforce services.
  • ·Morris Matrix may also provide institutional, training, career and employability services through applicable programs and partnered institutions.

2. Corporate Project Services

  • ·Morris Matrix may undertake Tech and Non-Tech Projects for organizations.
  • ·The scope of each project will be determined through the applicable proposal, quotation, work order, statement of work or project agreement.
  • ·The applicable project documentation may specify:
    • ·Scope of work
    • ·Deliverables
    • ·Project timeline
    • ·Milestones
    • ·Payment terms
    • ·Client responsibilities
    • ·Acceptance criteria
    • ·Resources required
    • ·Additional requirements

Project Payment Structure

  • ·Unless otherwise agreed in writing:
  • ·10% Advance Payment — A 10% advance payment of the agreed project value is required before commencement of the project.
  • ·The advance enables Morris Matrix to initiate planning, allocate resources and begin project execution.
  • ·Two Milestones — The remaining project consideration will generally be structured across two milestones.
  • ·The exact milestone values and deliverables may vary depending on the nature, complexity and duration of the project.
  • ·The applicable payment schedule will be communicated to and agreed with the client before commencement.
  • ·Any requirement outside the agreed scope may be treated as additional work and separately quoted.

Project Payment Acknowledgment

  • ·Before making the applicable project advance payment, the client will be required to acknowledge:
  • ·By proceeding with this payment, you acknowledge that this payment is for the specified Morris Matrix service/cycle and is non-refundable once successfully made, subject to applicable law and the Morris Matrix Refund Policy.
  • ·For project payments, the wording may be adapted from "service/cycle" to "project advance" where appropriate:
  • ·By proceeding with this payment, you acknowledge that this payment is the agreed project advance for the specified Morris Matrix project and is non-refundable once successfully made, subject to applicable law, the applicable project agreement and the Morris Matrix Refund Policy.
  • ·The acknowledgment should appear immediately before the payment confirmation/Pay Now action.

3. Workforce & HR Staffing

  • ·Morris Matrix provides workforce and HR staffing support to organizations based on their requirements.
  • ·Where a company hires or engages a candidate provided or introduced through Morris Matrix, the hiring organization is responsible for paying the staffing commission to Morris Matrix.
  • ·The standard staffing commission is: 8% of the employee's annual CTC.
  • ·The applicable CTC shall be based on the compensation agreed between the hiring organization and the selected employee.
  • ·The staffing commission is separate from:
    • ·Employee salary
    • ·Statutory benefits
    • ·Employer contributions
    • ·Other employment-related costs
  • ·Those employment terms remain between the hiring organization and the employee.

Staffing Commission Payment Acknowledgment

  • ·Before making the staffing commission payment, the client organization will be required to acknowledge:
  • ·By proceeding with this payment, the client acknowledges that this payment represents the applicable Morris Matrix staffing commission and is non-refundable once successfully made, subject to the applicable staffing agreement, applicable law and the Morris Matrix Refund Policy.

4. Candidate Career Services

  • ·Morris Matrix may provide individuals with access to:
    • ·Third-party employment opportunities
    • ·Career counselling
    • ·Interview preparation
    • ·Career guidance
    • ·Application-related support
    • ·Training
    • ·Other career-development services
  • ·Where a fee is charged to an individual, the fee is for the specific service provided and is not a payment for securing employment.
  • ·Payment of a registration, application, counselling or career-service fee does not guarantee:
    • ·Interview selection
    • ·Job selection
    • ·Employment
    • ·Salary
    • ·Offer letter
    • ·Joining
    • ·Continued employment
  • ·Final hiring decisions remain with the relevant employer.

5. Student Registration & Application Services

  • ·Where Morris Matrix charges a registration or application fee for a defined career-access or third-party opportunity service, the applicable fee will be clearly disclosed before payment.
  • ·The fee relates to the applicable registration, application or career-access service.
  • ·It is not a fee for obtaining employment.

Registration / Application Payment Acknowledgment

  • ·Before payment, the student/candidate will be required to acknowledge:
  • ·By proceeding with this payment, you acknowledge that this payment is for the specified Morris Matrix registration/application service and is non-refundable once successfully made, subject to applicable law and the Morris Matrix Refund Policy.
  • ·The acknowledgment should appear immediately before the payment confirmation/Pay Now action.

6. Student & Institutional Services

  • ·Morris Matrix works with partnered educational institutions for applicable training, employability, placement and talent-development programs.
  • ·Morris Matrix may limit its institutional partnerships geographically and may collaborate with only one college/institution within a particular area under its institutional partnership model.
  • ·An institutional partnership does not guarantee employment or placement to every student.

7. Student Applications & Interviews

  • ·Morris Matrix does not charge a student merely for:
    • ·Applying for an employment opportunity
    • ·Being considered for an employment opportunity
    • ·Attending an interview
    • ·Participating in an employer's selection process
  • ·Where a separate fee applies to a defined registration, career-access, counselling or training service, the applicable fee and service will be communicated before payment.

8. Selected Student Training

  • ·Morris Matrix may independently identify and select students for employment opportunities, training programs or workforce development programs.
  • ·Where a student is selected for a structured Morris Matrix training program, participation in the training may be mandatory.
  • ·Morris Matrix may allocate dedicated:
    • ·Trainers
    • ·HR personnel
    • ·Management resources
    • ·Training time
    • ·Preparation resources
    • ·Mentoring
    • ·Other operational resources
  • ·The purpose of the training is to prepare candidates according to the professional, organizational and role-specific standards required for the relevant opportunity.
  • ·A training fee may therefore apply to selected candidates.
  • ·The training fee is a training and professional-development fee, and is not a fee for obtaining employment.
  • ·Unless expressly guaranteed in a separate written employment agreement, payment of the training fee does not itself guarantee employment.

Training Payment Acknowledgment

  • ·Before payment, the selected student will be required to acknowledge:
  • ·By proceeding with this payment, you acknowledge that this payment is for the specified Morris Matrix training program and is non-refundable once successfully made, subject to applicable law and the Morris Matrix Refund Policy.

9. Institutional Service Cycles

  • ·Institutional student services operate on defined service/application cycles.
  • ·One payment applies to one cycle.
  • ·A payment made for one cycle:
    • ·Applies only to that cycle
    • ·Does not carry forward to another cycle
    • ·Does not create continuing access to future cycles
    • ·Does not create a subscription
    • ·Does not create a lifetime entitlement to Morris Matrix services
  • ·If the same student subsequently enters a new eligible cycle, the applicable fee for that new cycle must be paid again.

10. Training Standards

  • ·Morris Matrix may establish the curriculum, training structure, assessments and professional standards applicable to its training programs.
  • ·Training may include:
    • ·Professional communication
    • ·Interview preparation
    • ·Workplace readiness
    • ·Role-specific preparation
    • ·Professional conduct
    • ·Organizational expectations
    • ·Other applicable skills
  • ·Morris Matrix may require candidates to complete applicable training requirements before proceeding to the relevant employment or deployment stage.

11. Client Responsibilities

  • ·Corporate clients must provide accurate and complete information regarding their:
    • ·Project requirements
    • ·Workforce requirements
    • ·Timelines
    • ·Scope
    • ·Organization
    • ·Authorized representatives
  • ·Candidates and students must provide accurate information relating to their:
    • ·Identity
    • ·Education
    • ·Employment history
    • ·Skills
    • ·Contact details
    • ·Application information
  • ·Morris Matrix may take appropriate action where materially false or misleading information is provided.

12. Project Scope Changes

  • ·Any material change to an agreed project may require:
    • ·Additional resources
    • ·Revised timelines
    • ·Additional charges
    • ·Revised deliverables
    • ·A revised agreement
  • ·Additional work outside the agreed scope will not automatically be included within the original project price.

13. Confidentiality

  • ·Each party shall take reasonable measures to protect confidential information received during an engagement.
  • ·Confidential information may include:
    • ·Business information
    • ·Client information
    • ·Project information
    • ·Candidate information
    • ·Institutional information
    • ·Documents
    • ·Commercial information
    • ·Internal processes
  • ·Confidential information may be disclosed where required for service execution, authorized by the relevant party or required by law.

14. Intellectual Property

  • ·Unless otherwise agreed in writing, Morris Matrix retains ownership of its pre-existing:
    • ·Systems
    • ·Frameworks
    • ·Processes
    • ·Methodologies
    • ·Templates
    • ·Tools
    • ·Software
    • ·Proprietary materials
  • ·Ownership of project-specific deliverables shall be determined by the applicable project agreement.

15. Payments & Taxes

  • ·All applicable fees must be paid through the payment methods communicated by Morris Matrix.
  • ·Applicable GST, taxes and statutory charges may be charged in accordance with applicable law.

16. Suspension & Termination

  • ·Morris Matrix may suspend or terminate a service or engagement where there is:
    • ·Material non-payment
    • ·Material breach of the applicable agreement
    • ·Fraudulent activity
    • ·Misrepresentation
    • ·Misuse of the platform or service
    • ·Unauthorized disclosure of confidential information
    • ·Other circumstances permitted by the applicable agreement or law

17. No Guarantee of Outcome

  • ·Except where expressly agreed in writing, Morris Matrix does not guarantee:
    • ·A specific project outcome
    • ·Business revenue
    • ·Employment
    • ·Interview selection
    • ·Job selection
    • ·Salary
    • ·Offer letter
    • ·Joining
    • ·Placement
    • ·Any specific commercial result

18. Governing Law

  • ·These Terms & Conditions shall be governed by the applicable laws of India.
  • ·Any dispute shall be handled in accordance with applicable law and the dispute-resolution provisions of the applicable agreement.

19. Modification of Terms

  • ·Morris Matrix reserves the right to update or modify these Terms & Conditions at any time without prior notice.
  • ·The latest version will always be published on this page. Continued use of the platform after any changes constitutes acceptance of the revised Terms & Conditions.
